  1. The school agrees to:

    1. deliver their first KidSafe UK course within six months of purchasing the KidSafe UK training materials

    2. schedule the KidSafe UK programme into long term plans for future deliveries as a unit of work. (Using KidSafe in line with Ofsted and KCSiE frameworks helps schools meet statutory requirements to safeguard children and fulfil PSHE curriculum.)

  2. The school agrees that:

    1. a minimum of two members of staff are present and fully participating during any KidSafe UK delivery to safeguard staff should a disclosure be made, and

    2. to protect the integrity and concept of the KidSafe UK programme and related intellectual property rights, person/s who is/are not employed by the school including parents/carers are not permitted to observe any part of the KidSafe UK course delivery.

    3. any member of staff delivering any part of the KidSafe UK programme must hold a current DBS/CRB clearance.

  3. The school hereby agrees that reasonable planning and preparation time and/or hours (approx. 6 – 8 hours) will be allocated to any member of staff to train with the KidSafe UK materials before delivery of the programme within their school. (This time can contribute towards an educators CPD/Performance Management.)

  4. The school agrees that a minimum of two KidSafe UK courses per year are delivered in their school and, if agreeable support the KidSafe UK trained member/s of staff to facilitate an information session explaining the principles of KidSafe UK at a staff meeting.

  5. School can nominate a KidSafe UK lead whose responsibility is to ensure that the KidSafe UK project runs effectively within the school.

  6. The school shall use its best endeavours to keep and hold confidential all KidSafe UK course and teaching materials.

  1. The school agrees to a member of senior management/KidSafe UK lead, to observe any member of staff who is delivering their first 'session four' delivery (looking after our body and our private places) and return a completed 'session four' observation checklist/feedback form to KidSafe UK.

  2. The school agrees that an external member of KidSafe UK staff can observe at request any part of the KidSafe UK course being delivered in your school or contact a school for verbal feedback on how courses are being received.

  3. Upon purchase of this Link a certificate will be issued stating the school is a KidSafe UK Registered Provider. Documentation will also be provided detailing how being a KidSafe UK Registered Provider helps demonstrate evidence for statutory Ofsted and KCSiE inspection criteria.

  4. Upon purchase of the KidSafe UK Link a school is provided with all relevant teaching materials to deliver the KidSafe UK courses including a KidSafe UK Training Delivery Manual, Children’s Course Delivery Manual, and all associated paperwork and teaching materials. Please contact KidSafe UK immediately if there is any issue with the quality of any material supplied. All intellectual property rights (including without limitation all copyright) in such materials are licensed exclusively to AV Webb & JK Walker and KidSafe UK and must not be copied without AV Webb & JK Walker and/or KidSafe UK’s prior written agreement.

  5. The school agrees after each course delivered to forward to KidSafe UK a completed FP1, FP2 or EYFS App 09a End of course summary.

  6. Fees - the school agrees to pay KidSafe UK the fee of this online order in accordance with the fee scale chosen (fees are based on the number of children on school roll) and to be paid upon this agreement being entered into and prior to the Link being issued. If a school wishes to cancel this contract the school must inform KidSafe UK within 5 working days. If the Link has been sent a school must delete uncopied all resources and upon confirmation a full refund will be given.

  7. The school acknowledges and agrees that no intellectual property rights in the KidSafe UK course and course materials (including without limitation copyright) shall pass to or vest in the school or any of its employees or contractors and furthermore the school agrees to ensure that no part of the KidSafe UK course materials including, without limitation, the: -

    1. KidSafe UK Training Manual Logistics & Essential Reading, Children’s Delivery Manual, and all associated paperwork and teaching materials contained in the Link,  will not be copied or reproduced in any way without the prior written consent of KidSafe UK.  The school agrees to ensure that all staff will comply with its obligations set out in this agreement including without limitation this clause.  The KS puppet will be supplied by KidSafe UK and may only be used for KidSafe UK course deliveries.

    2. All intellectual property rights (including without limitation copyright) in the KidSafe UK course materials and concepts are owned by AV Webb and JK Walker and licensed exclusively to KidSafe UK.

    3. Termination - KidSafe UK reserves the right to terminate this agreement immediately and to withdraw the KidSafe UK registration of the school due to what it regards as inadequate school competency levels or misuse of any KidSafe UK course materials in contravention with the terms of this agreement.

    4. KidSafe UK may also terminate this agreement immediately if the school breaches any other obligation in this agreement, in the event of KidSafe UK terminating this agreement the school hereby agrees to return uncopied all KidSafe UK materials.

  8. The school agrees that no member/s of school staff can deliver any part of the KidSafe UK programme in any other school unless previously agreed with KidSafe UK in writing.

  9. Limitation of liability:

    1. This clause 15 sets out the entire financial liability of KidSafe UK (including any liability for the acts or omissions of its employees, agents, consultants and subcontractors) to the school in respect of:

      1. any breach of this agreement however arising

      2. any use made by the school of the services of KidSafe UK or its course materials or any part of them; and

      3. any representation, statement or tortious act or omission (including negligence) arising under or in connection with this agreement.

    2. All warranties, conditions and other terms implied by statute or common law are, to the fullest extent permitted by law, excluded from this agreement.

    3. Nothing in this agreement limits or excludes the liability of KidSafe UK:

      1. for death or personal injury resulting from negligence; or

      2. for any damage or liability incurred by the school as a result of fraud or fraudulent misrepresentation by KidSafe UK; or

      3. for any other liability for which it unlawful to exclude or limit liability or attempt to do so.

    4. Subject to clause 15.2 and clause 15.3:

      1. KidSafe UK shall not under any circumstances whatever be liable for:-

        • loss of profits; or

        • loss of business; or

        • depletion of goodwill and/or similar losses; or

        • loss of anticipated savings; or

        • loss of goods; or

        • loss of contract; or

        • loss of use; or

        • loss of corruption of data or information; or

        • any special, indirect, consequential or pure economic loss, costs, damages, charges or expenses; and

      2. KidSafe UK’s total liability in contract, tort (including negligence or breach of statutory duty), misrepresentation, restitution or otherwise arising in connection with the performance or contemplated performance of this agreement shall in all circumstances be limited to the amount paid under this agreement by the school at the time any claim is made against KidSafe UK.

  10. No person other than a party to this agreement shall have any rights to enforce any term of this agreement.

  11. Nothing in this agreement is intended to, or shall be deemed to, establish any partnership or joint venture between the parties, constitute either party the agent of another party, nor authorise either party to make or enter into any commitments for or on behalf of the other party.

  12. KidSafe UK shall not be in breach of this agreement nor liable for delay in performing, or failure to perform, any of its obligations under this agreement if such delay or failure results from events, circumstances or causes beyond its reasonable control, and in such circumstances KidSafe UK shall be entitled to a reasonable extension of the time for performing such obligations

  13. If any provision of this agreement (or part of any provision) is found by any court or other authority of competent jurisdiction to be invalid, illegal or unenforceable, that provision or part provision shall, to the extent required, be deemed not to form part of this agreement, and the validity and enforceability of the other provisions of this agreement shall not be affected.

  14. This agreement and any dispute or claim arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the law of England and Wales.

  15. The parties irrevocably agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim that arises out of or in connection with this agreement or its subject matter or formation (including non-contractual disputes or claims).
